These Merchant Terms of Service ("Merchant Terms") govern your access and use of Teyweb as a store owner, vendor, or merchant ("you", "your", "Merchant"). By creating a store, listing products, or offering services on Teyweb, you agree to be bound by these Merchant Terms in addition to our general Terms of Service and Privacy Policy.
Important: If you do not agree to these Merchant Terms, you may not use Teyweb to operate your business or sell products/services through our platform.
1. Merchant Eligibility & Requirements
Basic Eligibility
To become a Teyweb merchant, you must:
- Age Requirement: Be at least 18 years old or the age of majority in your jurisdiction
- Legal Capacity: Have the legal authority to enter into binding contracts
- Business Authority: Own the business or be legally authorized to represent it
- Compliance: Comply with all applicable laws, regulations, and industry standards
- Good Standing: Have no history of fraudulent or illegal business activities
Additional Requirements
- Valid Documentation: Provide accurate business registration and tax identification documents
- Financial Information: Maintain valid banking information for payment processing
- Contact Information: Provide current and responsive contact details
- Verification: Complete identity and business verification processes as required
2. Merchant Account Management
Account Creation & Security
When you create a merchant account, you agree to:
- Accurate Information: Provide truthful, complete, and up-to-date information
- Account Security: Maintain the confidentiality of your login credentials
- Authorized Access: Ensure only authorized personnel access your account
- Immediate Notification: Report any unauthorized access or security breaches promptly
Required Business Information
You must maintain accurate and current information including:
- Business Details: Legal business name, trade name, and registration information
- Contact Information: Primary business address, phone number, and email
- Banking Information: Valid bank account details for payment processing
- Tax Information: Tax registration numbers and compliance documentation
- Legal Representatives: Authorized signatory and contact person details
3. Store Content & Product Management
Content Responsibilities
As a merchant, you are solely responsible for:
- Product Information: Accurate descriptions, specifications, and pricing
- Visual Content: High-quality images and videos that accurately represent products
- Store Policies: Clear shipping, return, and customer service policies
- Legal Compliance: Ensuring all content complies with applicable laws
- Intellectual Property: Confirming you own or have rights to all content used
Content Standards
All store content must:
- Be truthful, accurate, and not misleading
- Not infringe on third-party intellectual property rights
- Comply with advertising and consumer protection laws
- Not contain offensive, discriminatory, or harmful material
- Meet professional standards appropriate for e-commerce
Product Accuracy & Fulfillment
You must:
- Inventory Management: Maintain accurate stock levels and availability
- Order Fulfillment: Ship products within stated timeframes
- Quality Control: Ensure products meet described specifications
- Communication: Promptly notify customers of any delays or issues
4. Prohibited Products & Activities
Strictly Prohibited Items
The following products and activities are strictly prohibited on Teyweb:
Illegal & Harmful Products
- Illegal Goods: Any products prohibited by Nigerian or international law
- Counterfeit Items: Fake, replica, or unauthorized branded products
- Stolen Property: Items obtained through theft or other illegal means
- Weapons: Firearms, ammunition, explosives, and other dangerous weapons
- Controlled Substances: Illegal drugs, prescription medications, and related paraphernalia
Restricted Content
- Adult Content: Pornographic materials, adult services, or sexually explicit content
- Hate Speech: Products promoting discrimination, violence, or hatred
- Harmful Services: Services that could cause physical, emotional, or financial harm
- Pyramid Schemes: Multi-level marketing schemes or get-rich-quick programs
- Regulated Industries: Financial services, medical devices, or other regulated products without proper licensing
Prohibited Activities
- Fraud: Deceptive practices, false advertising, or misleading customers
- Price Manipulation: Artificial price inflation or deceptive pricing strategies
- Review Manipulation: Fake reviews, review incentives, or review manipulation
- Spam: Unsolicited communications or aggressive marketing tactics
- Platform Abuse: Circumventing platform rules or exploiting system vulnerabilities
5. Payments, Fees & Financial Terms
Payment Processing
Teyweb's payment system operates as follows:
- Payment Partners: All transactions are processed through trusted partners (e.g., Flutterwave, Paystack)
- Direct Deposits: Customer payments are deposited directly to your linked bank account
- Processing Time: Payments typically process within 1-3 business days
- Currency: Transactions are processed in Nigerian Naira (NGN) or other supported currencies
Fee Structure
Teyweb charges the following fees:
- Subscription Fees: Monthly or annual platform subscription fees as applicable
- Transaction Fees: Small fee on each successful transaction
- Payment Processing Fees: Fees charged by payment processors (passed through to merchants)
- Additional Services: Fees for premium features, marketing services, or additional support
Fee Changes & Notifications
- Advance Notice: We will provide at least 30 days' notice of fee changes
- Transparency: All fees are clearly displayed in your merchant dashboard
- Acceptance: Continued use of the platform after changes constitutes acceptance
- Grandfathering: Existing merchants may receive preferential pricing for a transition period
Refunds & Chargebacks
- Merchant Responsibility: You handle all customer refunds according to your stated policies
- Chargeback Protection: We provide tools and support to help prevent chargebacks
- Chargeback Fees: Standard chargeback fees apply when disputes occur
- Dispute Resolution: We assist with payment disputes when appropriate
6. Tax Obligations & Compliance
Tax Responsibilities
As a merchant, you are responsible for:
- Tax Registration: Registering for applicable taxes (VAT, sales tax, etc.)
- Tax Collection: Collecting and remitting taxes as required by law
- Tax Reporting: Maintaining accurate records and filing required tax returns
- Compliance: Staying current with changing tax laws and regulations
Teyweb's Role
- Platform Provider: Teyweb acts as a platform facilitator, not a tax advisor
- Reporting Tools: We provide sales reporting tools to assist with tax compliance
- Third-Party Integration: We may integrate with tax calculation services when available
- Legal Requirements: We will collect and remit taxes only when legally required to do so
7. Customer Service & Dispute Resolution
Customer Service Standards
You must provide:
- Responsive Support: Timely responses to customer inquiries (within 24-48 hours)
- Clear Policies: Well-defined shipping, return, and refund policies
- Professional Communication: Courteous and helpful customer interactions
- Issue Resolution: Fair and prompt resolution of customer complaints
Dispute Management
- Primary Responsibility: You are the first point of contact for all customer disputes
- Documentation: Maintain records of all customer communications and transactions
- Escalation: Teyweb may intervene in disputes when necessary
- Resolution Standards: Follow fair and legal practices in dispute resolution
Teyweb's Mediation Role
While we may assist with dispute resolution, we:
- Are not obligated to resolve disputes on your behalf
- May provide mediation services at our discretion
- Reserve the right to make final decisions in platform-related disputes
- May suspend accounts with excessive unresolved disputes
8. Legal Compliance & Regulatory Requirements
Applicable Laws
You must comply with all relevant laws including:
- Nigerian Laws: Federal and state laws governing e-commerce and business operations
- Consumer Protection: Laws protecting consumer rights and fair trading practices
- Data Protection: Privacy laws and regulations regarding customer data
- International Trade: Import/export regulations and international commerce laws
- Industry-Specific: Regulations specific to your product categories or services
Compliance Monitoring
- Regular Reviews: Teyweb may review merchant activities for compliance
- Reporting Obligations: We may report suspicious or illegal activities to authorities
- Corrective Actions: You must promptly address any compliance issues identified
- Documentation: Maintain proper records to demonstrate compliance
9. Account Suspension & Termination
Voluntary Termination
You may terminate your merchant account at any time by:
- Account Closure: Requesting account closure through your dashboard
- Data Export: Downloading your data before closure
- Outstanding Obligations: Fulfilling all pending orders and financial obligations
- Notice Period: Providing appropriate notice to customers
Teyweb's Right to Terminate
We may suspend or terminate your account for:
- Terms Violation: Breach of these Merchant Terms or general Terms of Service
- Illegal Activity: Engaging in fraudulent, illegal, or harmful activities
- Customer Complaints: Excessive unresolved customer complaints or poor service
- Non-Payment: Failure to pay platform fees or outstanding obligations
- Compliance Issues: Failure to comply with legal or regulatory requirements
- Risk Management: Activities that pose risk to the platform or other users
Termination Process
- Notice: We will provide notice when possible, except for immediate safety concerns
- Data Access: Limited time to export your data after termination
- Outstanding Payments: Processing of final payments subject to dispute resolution
- Appeal Process: Option to appeal termination decisions when appropriate
10. Data Protection & Privacy
Data Handling Responsibilities
As a merchant, you must:
- Privacy Compliance: Comply with applicable privacy laws and regulations
- Customer Consent: Obtain proper consent for data collection and use
- Data Security: Implement appropriate security measures for customer data
- Data Minimization: Collect only necessary customer information
- Retention Policies: Establish appropriate data retention and deletion policies
Prohibited Data Practices
- Unauthorized Sale: Selling customer data to third parties without consent
- Misuse: Using customer data for purposes beyond the original transaction
- Inadequate Security: Failing to protect customer data from unauthorized access
- Illegal Collection: Collecting data through deceptive or illegal means
11. Intellectual Property Rights
Your Content Rights
- Ownership: You retain ownership of all content you create and upload
- Platform License: You grant Teyweb a license to display and distribute your content as needed
- Responsibility: You are responsible for ensuring you have rights to all content used
- Indemnification: You agree to defend against any intellectual property claims
Teyweb's Intellectual Property
- Platform Rights: Teyweb owns all rights to the platform, technology, and branding
- Limited Use: You may use Teyweb branding only as authorized in marketing materials
- No Derivative Works: You may not create derivative works based on Teyweb's IP
- Trademark Usage: Follow our trademark guidelines when referencing Teyweb
12. Limitation of Liability & Indemnification
Limitation of Liability
To the maximum extent permitted by law:
- Platform Availability: We do not guarantee uninterrupted platform availability
- Indirect Damages: We are not liable for indirect, incidental, or consequential damages
- Liability Cap: Our total liability is limited to fees paid by you in the preceding 12 months
- Third-Party Services: We are not responsible for third-party service failures
Merchant Indemnification
You agree to indemnify and hold Teyweb harmless from:
- Your Content: Claims arising from your products, services, or content
- Legal Violations: Your violation of laws or regulations
- Third-Party Claims: Intellectual property or other claims related to your business
- Customer Disputes: Claims arising from customer transactions or disputes
13. Governing Law & Dispute Resolution
Governing Law
These Merchant Terms are governed by the laws of the Federal Republic of Nigeria, and any disputes will be resolved in Nigerian courts, unless otherwise specified.
Dispute Resolution Process
- Informal Resolution: First attempt to resolve disputes through direct communication
- Mediation: If informal resolution fails, proceed to mediation
- Arbitration: Binding arbitration for unresolved disputes (where applicable)
- Court Proceedings: Litigation as a last resort
14. Changes to These Terms
Modification Process
We may update these Merchant Terms by:
- Advance Notice: Providing at least 30 days' notice of material changes
- Multiple Channels: Notifying you via email, platform notifications, and website updates
- Effective Date: Clearly stating when changes take effect
- Acceptance: Continued use constitutes acceptance of modified terms
Your Options
If you disagree with changes, you may:
- Terminate: Close your account before changes take effect
- Object: Contact us to discuss specific concerns
- Grandfathering: Request continued service under previous terms (at our discretion)
